Terms of sale and licence

Last updated 28 October 2026 · these terms apply to the downloadable product sold at payhip.com/b/7cnZP and, for the parts marked as free, to the browser tools on this site.

In one paragraph. You pay once, you get a set of files, and the licence is perpetual for you as one person or one business. Use it for as many of your own clients as you like, edit it however you want, keep as many backups as you like. Do not resell or rehost it, do not strip the attribution, and do not blame us for your records, your taxes or your client disputes — because the data lives only on your machine and the software comes with no warranty.

Two things the seller must fill in before these terms are enforceable as written 1. Section 14 names a governing law and court but leaves the country blank; it has to match where the trader is actually established, and consumer terms cannot cut a consumer's local mandatory protections whatever is written here. 2. Section 6 relies on the EU/UK digital-content exception to the 14-day withdrawal right, and that exception only works if the buyer ticked a consent-and-acknowledgement box before the download was released. Check that Payhip's checkout actually collects it (their settings, not this page) or honour the 14 days. A real name, address and email also have to appear in the legal notice.

1. Who these terms are between

These terms are between you (the buyer or user) and the trader identified in the legal notice, operating as FreelanceDesk and Obtranzat. Payment is collected by Payhip, which is a separate company acting as merchant of record for the transaction. Buying means you accept these terms for yourself and, if you buy on behalf of a company, for that company.

If you are a consumer — buying for something outside your trade, business or profession — nothing here removes any statutory right you have where you live.

2. What you are buying

FreelanceDesk 1.0.1 is a digital download delivered as a ZIP archive (about 22 KB) containing:

FileWhat it is
FreelanceDesk.htmlThe whole app in one file: clients, time log, one-click billing of unbilled hours, printable PDF invoices, CSV and JSON export. Runs offline in any modern browser.
templates/freelance-docs.htmlOne more single-file app holding the document pack: a service agreement covering scope, deposits, revision rounds and a kill fee; a project proposal listing what is not included; and a rate card covering rush work and late-payment terms. They edit on screen and print to PDF the same way the invoicing does.
QUICKSTART.mdHow to open it, back it up and move it to another machine.
LICENSE.txtThe licence text below, in the version that applied when you bought.
VERSION.txtVersion number and change notes.

Because the product is a single HTML file with no build step, what is in the ZIP is the product. There is no server component, no subscription and no feature that switches off later.

3. The licence — what you may do

One purchase grants you a non-exclusive, non-transferable, perpetual licence to:

"Computers you control" means the licence is per purchaser, not per machine — your laptop and your desktop are both fine. It is also not per seat: a second freelancer or an employee in your firm needs their own purchase.

4. The licence — what you may not do

Reporting your own invoices to your own clients, including the small line the app prints on them, is normal use and not one of the things above. Invoicing you produce with it is yours; the software is ours.

5. Free tools on this site

The invoice generator, the overdue-reminder templates, the rate calculator and the demo tracker hosted here are free to use under a revocable, personal, non-commercial-redistribution licence: use the output for your own work, do not scrape or rehost the pages as your own product. They are the same kind of software as the paid file but deliberately limited — there is no support commitment, no version guarantee and no promise the pages stay up. Data entered here lives in your browser only, as the privacy notice explains.

6. Delivery, and the 14-day withdrawal right

Delivery is instant: Payhip releases the download after the payment settles. If the link stops working, your purchases page on Payhip keeps it available for re-download.

Consumers in the EU, UK and EEA normally have a 14-day right to withdraw from an online purchase without giving a reason. For digital content supplied as a download, that right can end early if, before the download is released, you gave prior express consent that performance should start and acknowledged that you thereby lose the withdrawal right. Instant delivery of a file depends on exactly that consent — so if you ticked such a box at checkout, the 14-day right is forfeited once you have the file, and refunds become a goodwill decision by the trader rather than an obligation.

If no such consent was collected, the 14-day right stands and this section does not override it. Everywhere else, and for business buyers, all sales of a delivered download are final.

Requesting a refund. Write to the contact in the legal notice through Payhip's order, say what you bought and why. Do not open a chargeback first; it costs both of us more than a message does.

7. Price, tax and currency

The price shown on the listing at the moment of purchase is the price. Prices are set in US dollars; Payhip converts and displays what your local currency equivalent is at their rate. Any VAT, GST or sales tax that the trader is legally required to charge is added or included as the checkout shows it, and the receipt Payhip issues is the tax document — we cannot issue one. If the listing's tax settings turn out to be wrong for the trader's situation, that is the trader's problem to fix with their own authority, not a basis for you to withhold payment.

8. No warranty

The software is provided as is, with no warranty, express or implied, including implied warranties of merchantable quality, fitness for a particular purpose and freedom from bugs, to the fullest extent your local law allows. It is a plain HTML file. Specifically, we do not warrant that:

Consumer-statutory conformity rights, where you have them, are not affected by this paragraph.

9. Not professional advice

Nothing here is accounting, tax or legal advice. The templates are a starting point written in ordinary language by the person who built the tool, not by a lawyer or accountant. Take your own advice before you sign a contract, set a rate structure, or file anything built on these numbers.

10. Your data, your backup, your liability for it

The app stores everything in your browser's local storage. There is no copy on our side, which means we cannot restore, repair or export your records for you. Backing up is your responsibility under this licence, and you should do it before clearing site data, updating a browser or replacing a machine.

You are responsible for using real, lawful figures on your invoices; for the accuracy of what you bill; and for complying with data-protection law regarding your own clients' information, which you hold as the controller. We never see any of it.

11. Limitation of liability

To the extent your local law permits, our total liability arising out of the software or these terms is limited to the price you paid, and we are not liable for lost records, lost profits, missed or failed tax filings, penalties, a client dispute, or any indirect or consequential loss — including where we were told it might happen. Liability that cannot legally be limited, such as for fraud, death or personal injury, is not limited by this clause.

12. Updates and support

Version updates for a released version are delivered through the store you bought from, at no extra charge to whoever bought the version they replace. There is no promise of a schedule, no obligation to ship future versions, and no support SLA. You may email the address in the legal notice with a problem; we answer when we can, and a defect we reproduce does get fixed.

13. Termination

The licence runs until you break section 4, at which point your right to use the files ends and you should delete them. Breaking these terms does not entitle anyone to a refund. Sections 8 to 11 and 15 survive termination.

14. Governing law, and complaints

These terms are governed by the law of [seller's country — to be completed], and the courts of that place have jurisdiction. Where you are a consumer, you also may bring a claim in the courts of the country where you live, and the mandatory consumer protections of that country apply instead of anything here that would reduce them.

We are not registered with any out-of-court consumer dispute-resolution scheme, so a consumer complaint goes to us first at the contact in the legal notice. In the EU, your national consumer-protection authority or European Consumer Centre is the escalation route if we do not resolve it. (The EU's old ODR platform stopped operating in July 2025; there is no point looking for it.)

15. General

16. Contact

Trader identity, postal address and email are in the legal notice. Put your Payhip order reference in the subject line and say which version you have.
